Terms & Conditions and Policy
1. Scope of Work
The Contractor agrees to perform the services outlined in the project proposal or agreement. The specific deliverables, milestones, and timelines will be detailed in the project scope provided to the Client prior to the start of the project.
2. Milestones and Timelines
The project will be completed in phases, with estimated timelines provided for each milestone. Timelines are subject to change based on the availability of content, feedback, and revisions from the Client. Any delays caused by the Client may result in an adjusted timeline.
3. Changes and Revisions
- Minor Changes: Minor adjustments that do not significantly alter the scope of the project are included in the original pricing.
- Major Changes: Major changes that deviate from the agreed-upon scope will require a separate estimate and may result in additional charges and timeline adjustments. Both Parties must agree to these changes in writing.
- The Contractor reserves the right to decline major changes that are impractical or outside the original scope of work.
4. Payment Terms
- Payment Schedule: A 50% deposit is required upfront to begin the project. The remaining balance is due upon project completion and approval by the Client.

- Late Payments: Work may be paused if payments are not received by the due date. Late fees may apply for overdue payments.
5. Termination
Either Party may terminate this agreement with 7 days' written notice. In the event of termination:

- Any deposit paid is non-refundable.
6. Copyright and Ownership
- The Client will own the copyright for all materials created under this agreement upon full payment.
- The Contractor may showcase completed work as part of their portfolio with the Client's consent.
7. Liability
The Contractor cannot guarantee error-free work and is not liable for any damages, including lost profits, resulting from the use of the deliverables. The Client is responsible for reviewing and approving all work before implementation.
8. Dispute Resolution
In the event of a dispute, both Parties agree to first attempt mediation. If mediation is unsuccessful, the dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
9. Governing Law
This agreement shall be governed by the laws of [insert state or jurisdiction], excluding its conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts in [insert location].
10. Confidentiality

- Communicate regularly with the Client regarding project progress and any potential delays.
13. Acceptance
By engaging the Contractor's services, the Client agrees to these Terms & Conditions and Policy. Any changes to this agreement must be documented and signed by both Parties.
